"Customer" (also referred to as “you”, or “the Purchaser”) means the individual, business, or organisation purchasing goods or services from the Company.

"Terms and Conditions" means the terms outlined in this document, including both Website usage terms and the Terms and Conditions of Sale.

"Quotation" means a written estimate provided by the Company detailing the scope and cost of goods or services.

"Ordered Products" means the specific goods or materials requested and purchased by the Customer.

"Contract" means the legally binding agreement formed between the Company and the Customer upon the acceptance of an order.

"Insolvency Event" refers to circumstances where the Customer is unable to pay debts, enters liquidation, bankruptcy, or similar proceedings as defined in Clause 16.b.

"Interim Applications" means partial invoicing based on the progress of work, issued during the delivery of services.

"Retention of Proprietary Rights" (also referred to as "Retention of Title") means the Company’s continued ownership of goods until full payment is received, as detailed in Clause 5.

"Force Majeure Event" means an event beyond the reasonable control of the Company, including but not limited to natural disasters, strikes, war, pandemics, and supply chain failures, as set out in Clause 15.

"Working Day" means any day other than a Saturday, Sunday, or public holiday in Jersey, Channel Islands.

"Guarantee" means any express warranty provided by the Company in relation to the quality or performance of goods, including terms for valid claims and exclusions.

"Site Preparation and Support" means the Customer’s obligation to provide necessary on-site provisions as set out in Clause 8.

"Customer Instructions" means all relevant information and direction provided by the Customer regarding requested goods or services.

"Defective Materials" means goods supplied by the Company that are damaged, faulty, or fail to meet specification, subject to terms in Clause 10.

"Cancellation" means the Customer’s right to cancel scheduled services, as governed by Clause 19.

"Cancellation Period"
The "Cancellation Period" refers to a defined timeframe within which the Customer has the right to cancel the contract without incurring any penalties.

"Service Only" A non-installation appointment limited to maintenance, repairs, or assessments where no materials have been purchased by the Company.

"Amendments" refers to the Company’s right to modify or revise these Terms and Conditions at any time.

"Notice" means a formal written communication as defined under Clause 1.b–1.c.

"Services" means the professional glazing and related services provided by the Company, subject to availability and other conditions in Clause 13.

"Surveyor" A qualified representative of Alan Ward Glass and Glazing responsible for inspecting the site to assess structural suitability, access, and regulatory compliance for the proposed works.

"Cookies" means small text files used on the Website to enhance user experience, which can be managed via the user’s browser settings.

"Data Protection Law" refers to the Data Protection (Jersey) Law 2018 and any related regulations governing the handling of personal data.

Terms and Conditions of Sales

1. General

a. Alan Ward Glass & Glazing Ltd may at any time assign, transfer, charge, subcontract or deal in any other manner with all or any of its rights or obligations under the Contract. The Purchaser may not assign, transfer, charge, subcontract or deal in any other manner with all or any of its rights or obligations under the Contract without the prior written consent of Alan Ward Glass & Glazing Ltd.

b. Any notice or other communication given to a party under or in connection with the Contract shall be in writing, addressed to that party at its registered office or principal place of business, or such other address as may be specified in writing, and shall be delivered personally, sent by pre-paid first-class post or next working day delivery service, commercial courier, or e-mail.

c. A notice or communication is deemed received:

(i) if delivered personally, when left at the address;

(ii) if sent by post/delivery service, at 9:00 am two working days after posting;

(iii) if delivered by courier, when the delivery receipt is signed;

(iv) if by e-mail, one working day after transmission, assuming no delivery failure notification is received.

d. Clauses 1.b and 1.c do not apply to the service of legal proceedings.

e. If any provision of the Contract is held to be invalid, illegal or unenforceable, it shall be deemed deleted as needed, without affecting the remaining provisions. If deletion can render the provision valid, it shall apply with the minimum modification necessary.

f. Waivers are only effective if in writing and do not waive subsequent breaches. Delays or failures in exercising rights do not constitute waivers.

g. A person not party to the Contract has no rights under or in connection with it.

2. Quotes and Estimates

All quotes are provided free of charge and are valid for 30 days from the date of issue unless otherwise stated.

3. Pricing and Payment

a. Quotations are only valid in writing and for the stated period. They do not constitute an offer.

b. The price for Ordered Products shall be the price set out in Alan Ward Glass & Glazing Ltd’s price list at the date of the Order, unless otherwise agreed in writing.

c. Prices are in £GBP, exclusive of GST, and typically exclude insurance, duties, installation, and other taxes unless otherwise stated. Delivery and packaging may incur extra charges.

d. Alan Ward Glass & Glazing Ltd may adjust pricing prior to delivery to reflect:

(i) cost changes due to external factors;

(ii) Purchaser’s requested changes;

(iii) delays from Purchaser’s instructions or lack thereof.

e. Invoices may be issued at or after Contract formation.

f. Payment is due:

(i) in advance; or

(ii) within 7 days (unless other terms are agreed in writing) where credit terms are in place.

g. Acceptable payment methods include credit/debit card, wire transfer, cash or other agreed methods. Payments should be made to the bank account specified on the invoice.

h. All payments must be made in full without deductions, unless required by law.

i. All bank charges are the Purchaser's responsibility unless agreed otherwise.

j. Alan Ward Glass & Glazing Ltd may suspend deliveries until payment is received.

k. Disputes on one order do not entitle withholding payment on other orders.

l. Late payments will accrue interest on all unpaid amounts from 7 days after such payments become due and payable at the rate of 5% above NatWest International base rate or 7%, whichever is the greater. Any recovery costs shall be paid by the Customer.

4. Interim Applications

Invoices will be issued weekly as work progresses. Payment is due on receipt. Late payments may result in suspension of work and 1% daily interest. Recovery costs are payable by the Customer.

5. Retention of Proprietary Rights

Until payment by the Customer is received in full by the Company for the price of the goods, property in the goods shall remain the Company’s. The Customer shall hold the goods in a fiduciary capacity for the Company and shall store them in such a manner, at his own expense, so that they shall at all time be identifiable as goods of the Company. If the Customer shall receive from whosoever any payment in respect of the goods then the Customer shall receive and hold such monies on behalf of the Company and shall without undue delay pay all due sums to the Company in respect of the goods.

6. Working Time and Notice to Commence

Work typically begins two weeks after notice. Quotations assume continuous work. Additional site visits may incur extra charges.

Most jobs can be completed in one visit, but we will advise you in advance if multiple visits are required to complete the work safely and to the highest standard.

We will always aim to complete services within the agreed timeframe. However, all turnaround times are estimates and may vary depending on the nature of the job.

7. Customer Responsibilities

Customers must provide clear instructions and disclose any relevant information regarding items or services requested. We cannot accept responsibility for any loss or damage resulting from incorrect or incomplete information provided.

8. Site Preparation and Support by Customer

Unless stated otherwise, the Customer must provide, free of charge, on-site support including scaffolding, hoisting, lighting, power, water, unloading, parking, secure storage for materials and equipment.

Customers must ensure that all window sills and surrounding areas are clear and free from valuables prior to the commencement of work.

By accepting the service, customers agree that Alan Ward Glass & Glazing Ltd may move any items obstructing the agreed works.

Alan Ward Glass & Glazing Ltd will not be held responsible for any damage to items that must be moved to carry out the agreed work, including but not limited to blinds, curtains, and pelmets.

9. Customer’s Own Conditions

Customer terms included with an order are not binding unless specifically agreed to in writing by Alan Ward Glass & Glazing Ltd.

10. Damaged or Defective Materials

Claims for damage must be made in writing within 48 hours of delivery or installation.

11. General Product Specification

Glass Characteristics and Limitations

While every effort is made to ensure visual consistency, Alan Ward Glass & Glazing Ltd cannot guarantee that replacement or new glass will exactly match existing panes in colour, tint, or tone. This is particularly relevant for Low-E (soft coat) glass, which may appear differently depending on the manufacturer, batch, or lighting conditions.

Spontaneous glass breakage (Nickel Sulphide (NiS) inclusion failure)

Additionally, toughened (tempered) glass is subject to very rare instances of a phenomenon called "spontaneous breakage" or more technically known as "Nickel Sulphide (NiS) inclusion failure" due to internal nickel sulphide inclusions or other undetectable imperfections.

This phenomenon is an industry-recognised risk and is outside the control of Alan Ward Glass & Glazing Ltd. As such, we cannot accept liability for spontaneous breakage of toughened glass once installed.

Visual Quality of Glass and Frames – Inspection Standards

All glass and glazing work supplied and/or installed by Alan Ward Glass & Glazing Ltd will be assessed in line with accepted industry standards, including the Glass and Glazing Federation (GGF) Visual Quality Standards and relevant British Standards (e.g., BS EN 1279, BS EN 12150, BS EN 14449, and BS EN 1096).

When inspected under normal lighting conditions, in daylight (but not direct sunlight), the following criteria apply:

a. Standard Float Glass / Double Glazing: Must be viewed from a distance of 2 metres, perpendicular to the surface (90°).

b. Toughened, Laminated, or Coated Glass (e.g., Low-E): Should be assessed from a distance of 3 metres, also at 90°.

c. Frames (e.g., uPVC, aluminium, timber): Assessed at 2 metres in natural light.

Minor imperfections such as faint scratches, seeds, surface ripples, or colour variations that are not visible from these distances are considered acceptable and not deemed defects.

These criteria are standard practice throughout the UK and Channel Islands and are intended to provide a fair, consistent method of assessing installed glazing quality.

Condensation

Condensation between sealed units is covered during the guarantee. Condensation elsewhere is not.

Use of Safety Glass in Critical Areas

Customers must inform Alan Ward Glass & Glazing Ltd in advance of any areas that require the use of safety glass in accordance with BS 6262 and other relevant safety standards.

These areas typically include, but are not limited to: doors, door sides, side panels, low-level areas under 800mm, bathrooms, shower screens, stairwells, balustrades, and any other location where accidental human impact is reasonably foreseeable.

Alan Ward Glass & Glazing Ltd will not be held liable for the use of non-safety glass in critical locations if we are not made aware of the requirement prior to supplying or installation.

12. Research and Development

Product specifications may change without notice due to ongoing development.

13. Services

We provide a wide variety of services to individuals and businesses based in Jersey C.I. Services are provided subject to availability and may be refused at our discretion.

Certain specialist services—such as stained glass, leaded panels, and gilding—are fulfilled through carefully selected third-party partners. These services are subject to the availability, terms, and acceptance criteria of those providers, and may be refused, delayed, or altered at their discretion. While we facilitate access to these services, we do not accept liability for delays, defects, or decisions made by the third-party providers.

We reserve the right to amend, withdraw, or substitute any service offering at any time without prior notice.

14. Liability

a. Nothing in these Conditions limits or excludes Alan Ward Glass & Glazing Ltd’s liability for:

(i) death or personal injury due to negligence;

(ii) fraud or fraudulent misrepresentation;

(iii) any other non-excludable liability by law.

b. Subject to 3.a:

(i) Alan Ward Glass & Glazing Ltd is not liable for:

  • loss of profits, savings, opportunity, goodwill, or data;
  • special, indirect, consequential, or pure economic loss;

(ii) Total liability is limited to the price paid for the Quoted Services.

15. Force Majeure

Alan Ward Glass & Glazing Ltd is not liable for delay or failure due to events beyond its control (e.g. natural disasters, strikes, war, pandemics, supplier failure). Obligations are suspended during such events.

16. Termination & Insolvency

a. Alan Ward Glass & Glazing Ltd may cancel or suspend deliveries and demand payment if the Purchaser undergoes an Insolvency Event.

b. Insolvency Event includes:

  • Inability to pay debts, bankruptcy, liquidation, insolvency proceedings, or moratoriums.

c. Alan Ward Glass & Glazing Ltd may terminate upon:

  • (i) Material breach not remedied within 7 days;
  • (ii) Payment failure not resolved within 7 days of notice.

d. All sums become due immediately upon termination.

e. Rights accrued at termination survive. Terms surviving termination remain in effect.

17. Disclaimers

Customer-Supplied Materials

Alan Ward Glass & Glazing Ltd accepts no responsibility for breakage or damage when working on customer-supplied materials. Such work is entirely at the Customer’s risk and cost.

Use of Company Names and Logos for Promotional Purposes

Companies engaging our services grant Alan Ward Glass & Glazing Ltd the right to reference your company name and/or display your logo for marketing purposes, including on our website under the "Trusted By Locals" section and promotional materials, unless you notify us in writing that you do not consent.

This usage will be limited to identifying you as a client or partner and will not imply endorsement or affiliation beyond the scope of services provided.

If you wish to opt out of this usage, please notify us in writing at directors@alanwardglassandglazing.com. Upon receiving your request, we will remove your company name and/or logo from our materials within 14 working days.

Planning Permissions

It is the responsibility of the Customer to obtain any necessary planning, regulatory, or legal approvals prior to commencing any work that may require such permissions. Alan Ward Glass and Glazing shall not be held liable for any additional costs or consequences incurred by the Customer in the event that such approvals are not secured

Electrical Apparatus

Where any electrical apparatus or appliance is supplied, such as demister pads, Alan Ward Glass & Glazing shall not be responsible for connecting the item to the mains electrical supply or for carrying out any associated wiring.

It is the Client’s responsibility to arrange for a qualified electrician to complete all necessary electrical connections in accordance with applicable regulations.

18. Complaints

If you are unhappy with any part of the service, please notify us within 48 hours of receiving the service. We will work with you to resolve any issues promptly.

19. Cancellations

The Customer has the right to cancel any contract in writing for any reason within five (5) days from the date the contract was signed (the 'Cancellation Period'). In such cases, any prepaid amounts will be refunded, provided that Alan Ward Glass and Glazing has not incurred any liabilities related to the order. If any liability has been incurred, including liabilities to third parties, Alan Ward Glass and Glazing reserves the right to retain any prepaid amounts to discharge such liabilities. After the expiration of the Cancellation Period, the Customer may no longer cancel the contract.

Alan Ward Glass and Glazing reserves the right to cancel this contract unilaterally if, in the opinion of its Surveyor, the existing lintels or supports are insufficient in strength or span, or if internal or external access for installation is deemed inadequate; if the proposed specification conflicts with By-Laws, statutory regulations, or other legal requirements; or if the aperture details are unsuitable for the proposed work.

The company also retains the right to accept or reject the order either at the time of placement or during the survey process, should it occur at a later time

Clients may cancel Service Only appointments by giving at least 24 hours' notice. We reserve the right to charge a cancellation fee if insufficient notice is given.

20. Amendments to Terms

We reserve the right to amend these Terms and Conditions at any time.
